ArcLedger Software License Agreement

Publisher: ArcanEdge LLC
Product: ArcLedger, signed STANDARD edition for Windows
Version of these terms: Version 1.1. Effective date: October 30, 2026.

Public downloads and Pro subscriptions are currently unavailable. This agreement applies to installing and using ArcLedger. Browsing this website does not start a subscription or activate Pro.

1. Agreement and acceptance

This agreement is between ArcanEdge LLC, a Texas limited liability company ("ArcanEdge", "we"), and the person or organization that installs or uses ArcLedger ("you"). By installing or using ArcLedger, you agree to this agreement. If you do not agree, do not install or use ArcLedger.

If you accept for an organization, you confirm that you are authorized to do so.

2. License

ArcanEdge grants you a limited, non-exclusive, non-transferable, revocable license to install and use the signed STANDARD edition of ArcLedger on Windows devices you control, for your own business purposes. Which features you may use depends on your edition:

ArcLedger is licensed, not sold. You may not redistribute, resell, sublicense, or make ArcLedger available to people who are not covered by your license.

3. Restrictions

You must not:

4. Your responsibilities

You are responsible for:

5. How ArcLedger operates

Local-first. ArcLedger stores your business data on your device by default. The privacy policy at https://getarcledger.com/privacy.html describes what it records, what it doesn't, and which network connections it makes.

Routine tracking is automatic. While it runs, ArcLedger records and classifies routine work activity and agent runtime automatically, using local signals described in the privacy policy. You don't have to approve each ordinary event, context switch or approved agent stream.

Managed Local AI is on by default.

Local Vision is separate and optional. It runs only after your explicit, persistent consent. Each capture is one foreground image, held in memory and sent only to the on-device model. The image is discarded, and only sanitized derived text may be kept.

External evidence checkpoint. When you anchor the audit chain or mark a statement billed, ArcLedger submits one 32-byte hash to public OpenTimestamps calendar servers. It sends no client names or business data. This is on by default, and you can turn it off in Settings → Privacy.

Subscription connection (Pro only). A connected Pro computer contacts ArcanEdge's subscription service to activate and refresh its licence about once a day. The privacy policy describes what it sends. ArcLedger Free makes no subscription connection.

Optional connections. OAuth source connections are optional and user-initiated.

6. ArcLedger Pro subscriptions

Subscription connection. The account page and online connection terms below describe the Pro subscription connection. Manual import of a signed licence file is also supported when ArcanEdge support supplies one.

Price and billing. The price is USD $20 a month or USD $200 a year, billed in advance, plus any tax that applies where you live. There is no separate Pro trial; ArcLedger Free can be used without time limit. Your subscription renews automatically at the end of each billing period until you cancel.

Paddle is the Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's own buyer terms apply to your purchase.

Connecting a computer. Connect ArcLedger Pro from Settings → Subscription. ArcLedger opens ArcanEdge's account page in your browser. Sign in with a link emailed to the address you bought Pro with, and confirm the code ArcLedger shows. ArcLedger then activates and refreshes its licence automatically, without copying a licence file.

Two computers. A subscription can be active on up to two computers at a time. You can release a computer from the account page at any time, and then connect another. A computer that hasn't refreshed for 30 days no longer holds a place, and loses it for good once another computer is connected in its place.

Signing out and releasing are different.

Working offline. ArcLedger checks your subscription with the service about once a day. Each licence is valid for at most 14 days after the service last confirmed your subscription, and never past an earlier end date, such as the end of a paid period or a grace period. Refreshing doesn't extend a licence past those dates, and connecting alone doesn't override them. If a computer can't get a new licence before its current one runs out, Pro features pause on it. They come back only if the subscription still qualifies and the computer gets and verifies a new licence. The work stored on your computer isn't deleted.

Cancelling. You can cancel at any time through Paddle's subscription portal. Pro features stay available until the end of the period you have paid for, and the workspace then returns to ArcLedger Free.

Failed payments. If a renewal payment fails, Pro features stay available for up to 14 days from the first failed attempt while payment is retried. Later failed attempts don't extend that time. If payment is recovered in time, the service treats the subscription as paid again. A computer keeps Pro without a break if it gets an updated licence before its current one runs out. Otherwise Pro pauses on that computer until it does. If payment isn't recovered, Pro features end when the 14 days are up.

Refunds. Refunds are handled under ArcanEdge's refund policy and by Paddle as Merchant of Record. When a whole payment is refunded, the subscription service stops granting Pro for the refunded period. On a connected computer, Pro ends at the next successful, verified subscription check and the workspace returns to ArcLedger Free. A partial refund doesn't change access. After a chargeback, the service stops granting Pro at once, until the chargeback is reversed. An offline computer may keep only the access its current signed licence already grants, until that licence expires: at most 14 days from the service's last confirmation, with any earlier deadline still applying. A refund, restart, local verification or reimport does not start a new offline period. A later paid period can restore Pro once the subscription qualifies again and the computer verifies a current licence.

When Pro features end, for example after cancellation, a refund or a chargeback, the work and billing records stored on your computer aren't automatically deleted. Estimate & Quote records become read-only and exportable, and projects above the Free limit follow the 14-day project selection described in the app. Records held by ArcanEdge's subscription service follow the retention rules in the privacy policy.

What these terms don't promise. A computer that is offline learns of a cancellation, refund, chargeback or release only when it next connects, or when its current licence runs out. ArcanEdge doesn't promise immediate offline revocation, uninterrupted availability of the subscription service, or that the subscription service is free of errors. If the service is unavailable, a computer keeps the access its current licence grants until that licence runs out.

7. Billing records

ArcLedger prepares billing records from the evidence it has recorded: tracked time, agent runtime, review decisions and the rates you set. It is intended for real client billing.

No record becomes billable until you deliberately review and approve it. Final approval of every billing record, statement and invoice is yours.

ArcanEdge does not guarantee:

Estimates, market references, price ranges, value and savings comparisons, and local suggestions are decision support, not guarantees. ArcLedger does not provide tax, accounting, legal, financial, valuation or payroll advice. You remain responsible for scope, pricing, invoice and proposal review, compliance, tax treatment and client approval. ArcLedger currently supports USD billing only.

8. No warranty

ArcLedger is provided "as is", to the maximum extent allowed by law. There are no warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, or error-free behavior.

9. Limitation of liability

To the maximum extent allowed by law, ArcanEdge is not liable for indirect, incidental, special, consequential, punitive or lost-profit damages arising from your use of ArcLedger. ArcanEdge's total direct liability is limited to the greater of the ArcLedger Pro fees you paid in the 12 months before the claim, or USD $100, unless a separate signed agreement says otherwise.

These limits don't apply to any liability that the law doesn't allow to be limited or excluded.

10. Third-party and open-source components

10.1 Notices. ArcLedger includes, and its managed setup may install, components owned by third parties. They're listed, with their licenses, in the third-party notices in the notices folder of the installed application. Each is licensed by its owner on the terms stated there.

10.2 Microsoft components. ArcLedger includes Microsoft Visual C++ runtime components and may install them. Microsoft's licence terms for that runtime apply (https://aka.ms/VCRedistLicense). Except where applicable law or an applicable licence permits it, you must not redistribute these components, bypass their technical limits, reverse engineer, decompile or disassemble them, or remove, hide or alter Microsoft or supplier notices. Microsoft and its suppliers provide the components as is, with the warranty exclusions and liability limits stated in Microsoft's terms. Nothing in this agreement takes away rights those terms or applicable law give you.

10.3 Open-source rights. Each third-party component is governed by its own licence. If a restriction in this agreement conflicts with rights that licence grants you for that component, the component's licence controls. For a work that uses a library under the GNU Lesser General Public License, including the Nsis7z installer plug-in, this agreement permits modification of that work for your own use and reverse engineering to debug those modifications, as that licence requires. The notices folder includes the matching Nsis7z source and the LZMA SDK source it uses.

11. Updates and support

ArcLedger does not update itself automatically. Updates are installed by replacing the installer.

Support is provided by email at info@arcanedge.ai. Response times are not guaranteed. Payment, invoice and refund requests are handled by Paddle as Merchant of Record (section 6).

12. Changes to these terms

If we make a material change to these terms, we'll give you clear notice before the change applies to you. A change that adds new obligations for you applies only after you accept it. Until then, the terms you already accepted continue to apply.

13. Governing law, venue and notices

This agreement is governed by the laws of the State of Texas, excluding its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts serving Wichita County, Texas, and both parties consent to their jurisdiction. This doesn't take away any consumer rights you have under the law where you live that can't be waived.

14. Ownership and your data

ArcanEdge and its licensors retain ownership of ArcLedger and their intellectual property in it. You retain the rights you have in the work data, records and other material you create or import. This agreement does not transfer ownership of that material to ArcanEdge. Personal information is handled as described in the privacy policy.

15. Ending this agreement

This agreement continues until ended. You may end it by stopping your use of ArcLedger. To stop future Pro charges, you must also cancel your subscription through Paddle as described in section 6. Cancelling Pro alone does not end your right to use ArcLedger Free under this agreement.

We may end your licence for a material breach of this agreement. Where the breach can reasonably be corrected, we will give written notice and a reasonable opportunity to correct it first. We may act sooner where required by law or necessary to address unlawful use or a serious security threat. Any action remains subject to applicable mandatory rights.

When your licence ends, you must stop using ArcLedger except as applicable law or a component's own licence permits. You may keep your own work data, exports and backups. Ending this agreement does not authorize ArcanEdge to delete your local data, change Paddle's refund obligations, or change the cancellation, refund and offline-access rules stated in section 6. It does not promise immediate revocation on an offline computer.

Provisions concerning ownership, restrictions, responsibility for past use, billing records, warranty, liability, third-party rights and dispute resolution continue to apply where their purpose requires it after this agreement ends.

16. General terms

You must comply with the export, import and sanctions laws that apply to your use of ArcLedger.

This agreement and the policies it expressly refers to are the agreement between you and ArcanEdge about ArcLedger, replacing earlier discussions about the same subject unless a separate signed agreement says otherwise. Paddle's purchase terms and each third-party component's licence remain separate and govern their respective subjects. Changes to this agreement follow section 12.

If a provision cannot be enforced, the rest of this agreement continues to apply to the extent permitted by law. A failure or delay to enforce a provision does not by itself waive the right to enforce it later.
